Terms of Service

1. Agreement to Terms

By accessing or using Talent Token ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Talent Token is a digital collectible card platform that connects emerging talent (athletes, musicians, creators, performers, gamers) with supporters. Users can:

• Purchase digital card packs containing randomized cards
• Collect cards across 5 tiers of rarity
• Merge lower-tier cards to create higher-tier cards
• Access exclusive perks based on card holdings

3. Nature of Digital Cards

Cards provide utility including but not limited to: community access, exclusive content, virtual experiences, and real-world perks as determined by each talent. The value of cards is in their utility, not their resale potential.

4. Randomized Content Disclosure

Card packs contain randomized digital items. When you purchase a pack, you receive cards according to the following probability distribution:

• Common (Tier 1): 70% probability
• Uncommon (Tier 2): 20% probability
• Rare (Tier 3): 7% probability
• Epic (Tier 4): 2% probability
• Legendary (Tier 5): 1% probability

These probabilities are applied per card slot. There is no guarantee of receiving any particular tier in any given pack. By purchasing packs, you acknowledge and accept the random nature of pack contents.

5. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and current information
• Notifying us immediately of any unauthorized access

6. Purchases and Payments

All purchases are processed through Stripe, our payment processor. By making a purchase, you:

• Authorize us to charge your payment method for the amount specified
• Confirm that you are at least 18 years old or have parental consent
• Agree that all sales are final (subject to our refund policy)

Pack prices range from $15 to $25 USD, as set by each talent. Revenue is distributed as follows: 85% to the talent, 10% to the platform, and 5% to the ecosystem utility pool.

7. Refund Policy

Due to the randomized nature of digital card packs, all purchases are generally final. However, unopened packs may be eligible for refund if requested within 24 hours of purchase. Once a pack is opened, its contents are revealed and the purchase cannot be refunded. Contact support for refund requests.

8. Card Ownership and Transfers

Upon purchase and opening of a pack, you own the digital cards received. However:

• Cards are currently non-transferable between users
• Cards cannot be sold or traded on our platform
• Cards are tied to your account and cannot be extracted
• We may enable transfers in future versions at our discretion

Epic (Tier 4) and Legendary (Tier 5) cards are minted on the Polygon blockchain as ERC-1155 tokens. This does not confer any additional rights beyond those specified in these Terms.

9. Merging Cards

The merge feature allows you to combine lower-tier cards to create higher-tier cards. Merge ratios are: 10:1 (Common to Uncommon), 5:1 (Uncommon to Rare), 3:1 (Rare to Epic), 2:1 (Epic to Legendary). Cards used in merging are permanently consumed. This action cannot be undone.

10. Talent Terms

If you are a talent using the platform to offer cards:

• You retain rights to your name, likeness, and brand
• You grant us a license to create and distribute your card artwork
• You are responsible for fulfilling perks promised to card holders
• You receive 85% of pack sales via Stripe Connect payouts
• Minimum payout threshold is $50; payouts are on-demand

11. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose
• Attempt to manipulate the random pack generation system
• Create multiple accounts to abuse promotional offers
• Harass, abuse, or harm other users or talents
• Reverse engineer, decompile, or hack the Service
• Use automated tools or bots without authorization

12. Intellectual Property

All content on Talent Token, including but not limited to text, graphics, logos, card artwork, and software, is the property of Talent Token or its licensors and is protected by intellectual property laws. Card artwork is created using AI generation tools and is licensed to talents for use on the platform.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED ACCESS TO THE SERVICE. WE ARE NOT RESPONSIBLE FOR BLOCKCHAIN NETWORK ISSUES, THIRD-PARTY SERVICE OUTAGES, OR TECHNICAL DIFFICULTIES BEYOND OUR CONTROL.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALENT TOKEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
